Quarry Pilot Participation Agreement

This agreement is between you and Nexus Method LLC, a Texas limited liability company (“we,” “us,” or “Quarry”). It covers your participation in the Quarry pilot program. Quarry is an early-stage SaaS product under active development. A comprehensive Terms of Service and Privacy Policy are currently under attorney review and will be published before any billing begins. By proceeding, you agree to these pilot terms in the interim.

Quarry is intended for professional business acquisition purposes only and is not designed for retail or individual investment decision-making.

Quarry automatically collects publicly available business-for-sale listings from third-party platforms — BizBuySell, BizQuest, Empire Flippers, and potentially others — using automated data collection software. Before you proceed, there are four things you should know:

• We are not affiliated with these platforms. We collect from public pages. We do not have a data license, partnership, or endorsement from BizBuySell, BizQuest, Empire Flippers, or any other listing source.
• Listing completeness and accuracy may vary. Data may lag, listings may disappear, and sources may become temporarily or permanently unavailable if those platforms change their access policies. We show you what we can find — not a guaranteed complete picture of the market.
• AI deal assessments are informational tools, not advice. Scores and narratives that Quarry generates are produced by AI and are designed to help you prioritize. They are not investment advice, financial advice, or a recommendation to acquire any business. You are always the decision-maker.
• When you send outreach through Quarry, you are the sender. Outreach emails go from your Gmail account. Quarry sends them on your behalf, but you are the sender of record. You are responsible for the content you send and for compliance with applicable law (including CAN-SPAM).

Connecting Gmail is optional. If you choose to use Quarry's outreach feature, Quarry will request a limited Gmail authorization:

• Scope: gmail.send only. We can send emails on your behalf. We cannot read your inbox, access your email history, or access any email content.
• Storage: The authorization token is stored encrypted in our database. We do not sell or share it with any third party.
• Revocation: You can disconnect Gmail at any time from your Quarry settings, which immediately revokes the authorization. You can also revoke directly through your Google Account at myaccount.google.com/permissions.

• This pilot is free while attorney-reviewed Terms are pending. No credit card is required to start.
• Before any billing or fee collection begins, you will receive Quarry's full attorney-reviewed Terms of Service and Privacy Policy and will be asked to re-accept them. You can cancel at that point without any charge.
• Quarry may update this Pilot Agreement with notice via email to your registered address.

During the pilot, we collect: your email address, the deal criteria and buyer profile you enter, your Gmail authorization token (if you connect Gmail), which deals you interact with, and standard product usage data (which pages you visit, errors, performance). We use this to provide the service and improve the product. We do not sell your data.

You can request deletion of your account data at any time by emailing hello@getquarry.io.

Quarry is an early-stage product in active development. It is provided as-is. To the maximum extent permitted by law, Nexus Method LLC is not liable for any indirect, incidental, special, or consequential damages arising from your use of Quarry, including any losses arising from reliance on deal data, AI assessments, or broker outreach. Our total liability to you for any claim arising from this agreement or the Quarry pilot shall not exceed $100.

This agreement is governed by the laws of the State of Texas. Any disputes will be resolved in the courts of Travis County, Texas.

This Pilot Participation Agreement is the entire agreement between you and Nexus Method LLC during the pilot period and supersedes any prior understandings. It will be replaced in full by the attorney-reviewed Terms of Service and Privacy Policy before any billing begins.
